Terms of Use and Website Regulations – Live Kabbalah
- General Provisions and Definitions
1.1 Introduction
The “Live Kabbalah” website (hereinafter: the “Website”) is operated for and in cooperation with UNIVERSAL KABBALAH COMMUNITIES Inc., a nonprofit corporation registered in the State of California, USA, recognized as a tax-exempt organization under Section 501(c)(3) of the U.S. Internal Revenue Code (hereinafter: the “U.S. Association”).
In Israel, a separate and independent nonprofit organization operates under the name “Haim Kabbalah” (Amuta), Registration No. 580514396, which holds a valid approval under Section 46 of the Israeli Income Tax Ordinance (hereinafter: the “Israeli Association”).
The U.S. Association and the Israeli Association are separate and independent legal entities. Unless expressly stated otherwise, the activities of one entity shall not be construed as creating any obligation, liability, or representation on behalf of the other entity.
1.2 Acceptance of the Terms
Use of the Website, purchase of courses, joining communities, making payments or donations, and any other use of the Website’s services constitute acceptance of these Terms of Use, subject to any mandatory law applicable to the user or to the transaction.
A user who does not agree to these Terms of Use should refrain from using the Website or its services.
1.3 Language of the Terms
These Terms are drafted in the masculine form for convenience only and apply equally to all genders.
1.4 Definitions
For the purposes of these Terms:
- “User” means any person browsing the Website or using its services.
- “Online Course” means a course, lesson, lecture, recorded content, or digital educational material offered on the Website for payment.
- “Community” means an educational or community framework operated by the U.S. Association or the Israeli Association, in accordance with the applicable program.
- “Participation Fees” or “Membership Fees” means a payment for participation in a community or for receiving services and benefits as part of a community, where applicable under the relevant program.
- “Donation” means an amount given to an Association without a commitment to provide commercial consideration in return, subject to applicable law.
- Purchase of Online Courses and Digital Content
2.1 Nature of the Service
The Website offers online courses, recorded lessons, lectures, and educational materials in the field of Kabbalah, in Hebrew and English (hereinafter: the “Online Courses”).
The courses and digital services are provided by the U.S. Association, unless expressly stated otherwise on the relevant course page or at the time of purchase.
2.2 Payment
The price of each course will be displayed on the Website or on the relevant purchase page.
Payments for Online Courses are payments for educational services and content and are not considered donations to the Association, unless expressly stated otherwise.
Payment may be processed through third-party payment providers, including PayPal and Stripe, depending on the payment options available on the Website.
2.3 Access to the Course
Following completion and confirmation of payment, the user will be granted access to the course content in accordance with the terms published on the course page.
Access to the course is personal and may not be transferred to another person.
Users may not provide others with passwords, login credentials, personal access links, or links to course content.
2.4 Access Period
Unless expressly stated otherwise on the course page at the time of purchase, access to the course content will be provided for as long as the course remains available on the Website.
The Association may update, replace, or remove content, subject to the user’s rights and applicable law.
If a defined access period was promised at the time of purchase, the terms published at the time of purchase shall apply.
2.5 Cancellation and Refunds
Cancellation and refund rights relating to the purchase of a course or digital content shall be governed by the law applicable to the transaction and, where relevant, by the user’s place of residence.
Where applicable law permits cancellation of a purchase of digital content or an online service, the conditions and exceptions established by such law shall apply.
Where applicable law permits cancellation before access to the content has been provided, the user may request cancellation in accordance with applicable law and the purchase terms.
Nothing in these Terms shall derogate from any cancellation right or other right granted to the user under mandatory law.
2.6 Technical Difficulties
The Association will make reasonable efforts to ensure the proper availability of the courses and the Website. However, temporary interruptions may occur due to maintenance, technical malfunctions, failures of third-party service providers, force majeure, or other circumstances beyond the Association’s control.
- Donations and Separation of Entities
The Website may provide the option to make donations to two separate legal entities. Donors are responsible for ensuring that they have selected the entity to which they intend to direct their donation.
3.1 Donation to the U.S. Association
A donation to UNIVERSAL KABBALAH COMMUNITIES Inc.:
- Will be transferred to the U.S. Association in accordance with the selected payment method.
- May qualify as a charitable contribution for U.S. tax purposes, subject to U.S. tax law and the donor’s individual circumstances.
- The donor will receive a donation receipt or acknowledgment in accordance with the Association’s policies and applicable law.
- Such donation does not automatically entitle the donor to a tax credit or deduction in Israel.
3.2 Donation to the Israeli Association
A donation to Haim Kabbalah (Amuta), Registration No. 580514396:
- Will be transferred to the Israeli Association.
- Will be managed by the Israeli Association separately from the U.S. Association.
- Subject to applicable requirements, the donor will receive a receipt containing the information required for purposes of requesting a tax credit in Israel under Section 46 of the Israeli Income Tax Ordinance.
3.3 Donations Outside Israel
The tax treatment of donations made outside Israel may vary depending on the donor’s country, tax residence, the method by which the donation is made, and applicable law.
Through the JGive donation service, tax recognition may be available in the United States, Canada, and the United Kingdom, subject to the donor’s eligibility and JGive’s terms of service. The link is available on the Website’s donation page. The donation will be transferred to the bank account of the Israeli Association.
A receipt issued by the Israeli Association should not be construed as a guarantee that the donation will qualify for tax recognition in another country.
A donor seeking tax recognition in a country other than Israel should consult the donor’s tax advisor or the relevant tax authority in that country.
- Educational Communities
The Association operates educational and spiritual communities, both online and in person, in accordance with programs offered from time to time.
4.1 Online and Combined Educational Communities
Online or combined communities may include:
- Weekly study meetings via Zoom;
- In-person meetings, where included in the applicable program;
- Access to selected online courses;
- Access to recordings of certain content;
- Additional educational materials;
- Participation in study and discussion groups.
The scope of benefits and access to content will be determined in accordance with the community program as published on the Website or at the time of joining.
4.2 Participation Fees for Communities and Study Groups
Participation in a community that provides participants with defined services, content, meetings, or benefits may be subject to Membership Fees or Participation Fees.
The amount of the participation fee, payment frequency, and included benefits will be presented to the user before joining.
The recommended amount for participation in the community is intended to support the Association’s purposes, including the dissemination of Kabbalistic wisdom and its values and the establishment of spiritual communities for study and mutual support. The participant may choose a different amount according to their financial ability, and in appropriate circumstances the Association may permit participation without payment or at a reduced payment.
Community members are invited to contribute to the community’s activities in excess of the recommended amount, if they are financially able to do so, in order to support the Association’s efforts to disseminate Kabbalistic wisdom and, in addition, to subsidize community members who are unable to meet the recommended membership fees.
4.3 “Beehive” Communities
“Beehive” Communities are local study communities in which meetings are conducted primarily in person.
Activities may include:
- Weekly Torah portion study according to Kabbalistic teachings;
- Meditation and spiritual practice;
- Group study;
- Mutual support among community members;
- Activities in cells or groups of six members for purposes of spiritual support and community guidance;
- Additional activities as determined by the community.
4.4 Membership in “Beehive” Communities
Membership in a “Beehive” Community may be subject to monthly or annual participation fees, depending on the program, location, and services provided by the relevant community.
The recommended participation fee will be presented to the user in advance. The donation amount may be somewhat or substantially higher or lower than the recommended amount.
The donation will be used for the Association’s purposes, including, among other things, financing the meeting location, instructors’ compensation, production of educational materials, community maintenance, and development of new communities.
The amounts received by the Association will be classified according to their nature and applicable law. Where a payment constitutes a donation as defined by law and the Association is authorized to issue a receipt under Section 46, a receipt will be issued in accordance with applicable legal requirements.
4.5 Standing Orders and Recurring Payments
When a user chooses to join a program that includes recurring monthly or annual charges, the following will be presented to the user before the transaction is authorized:
- The amount of the charge;
- The frequency of the charge;
- The fact that the charge is recurring;
- The cancellation method;
- The conditions for terminating the recurring charge.
The user may cancel the recurring charge in accordance with the cancellation mechanism presented on the Website and subject to applicable law.
Cancellation of the recurring charge will not cancel charges that were lawfully processed prior to the effective date of cancellation.
In the event of a material change in the participation fees, notice will be provided to the user in accordance with applicable law.
4.6 Termination of Community Membership
A user may terminate their participation in a community in accordance with the applicable program terms and applicable law.
Upon termination of membership, access to benefits that were conditional upon active membership may be discontinued, including:
- Discussion groups;
- Zoom meetings;
- In-person meetings;
- Content restricted to community members;
- Recordings restricted to community members.
Nothing herein shall deprive a user of a right already lawfully purchased that is not conditional upon active membership.
4.7 Consideration for Financial Hardship
At its discretion, the Association may allow a long-standing community member experiencing financial hardship to continue participating in community activities during a period in which the member is not paying the full participation fee.
Any such decision shall be at the Association’s discretion and shall not create a permanent right or obligation toward other users.
- Intellectual Property and Restrictions on Use
5.1 Ownership
All copyrights, intellectual property rights, and rights in content displayed or provided through the Website or במסגרת the courses and communities, including texts, presentations, lessons, recordings, videos, educational materials, graphics, trademarks, and other content, belong to the U.S. Association, the Israeli Association, or third parties that have granted them a license to use such content, as applicable.
5.2 Personal License
The purchase of a course or participation in a community grants the user, to the extent necessary, a personal, limited, non-exclusive, non-transferable license to use the content for personal educational purposes only.
The purchase of a course or participation in a community does not transfer ownership of the content to the user.
5.3 Prohibition on Copying and Distribution
Without prior written permission, users are prohibited from engaging in activities including:
- Recording lessons or meetings;
- Copying educational materials;
- Photographing or reproducing presentations and booklets;
- Downloading or distributing recordings;
- Sharing Zoom links or personal access links;
- Sharing passwords;
- Uploading content to websites or social media;
- Selling content or transferring it to third parties;
- Using content for commercial activities or independent teaching;
- Creating derivative works based on the content where such use infringes copyright.
Violation of these provisions may result in termination of access to the Website or community, subject to applicable law, and may also result in appropriate legal action.
- Privacy and Information Security
6.1 Privacy Policy
The Association respects the privacy of Website users.
The processing of personal information, including information provided during registration, purchases, donations, joining communities, or use of the Website, is carried out in accordance with the Website’s Privacy Policy, which forms an integral part of these Terms of Use.
6.2 Service Providers
For the operation of the Website and its services, the Association may use third-party service providers, including payment processors, hosting providers, communications providers, Zoom, email service providers, information-security providers, and other technological service providers.
Relevant information may be transferred to such providers to the extent necessary to provide the services, in accordance with the Privacy Policy and applicable law.
6.3 Payment Processing
Payments on the Website may be processed through third-party payment providers, including PayPal and Stripe.
As a general matter, full credit card details are not stored on the Website’s servers but are processed through the relevant payment providers, in accordance with their systems and procedures.
6.4 Zoom Recordings
Where a Zoom meeting is recorded, the Association will endeavor to notify participants clearly and in advance.
The Association will not publicly distribute recordings containing participants’ faces, voices, questions, or personal content they have shared during the meeting, unless appropriate consent has been provided or such disclosure is permitted by law.
When a participant chooses to turn on their camera, speak through the microphone, present content, or write in the chat, the participant should be aware that such information may be visible to other participants depending on how the meeting is conducted.
The detailed policy regarding recordings and the processing of personal information is set forth in the Website’s Privacy Policy.
- Liability and Disclaimers
7.1 Nature of the Content
The content offered on the Website and through the courses and communities consists of educational, spiritual, and philosophical content based on Kabbalistic teachings and sources and traditions associated with Kabbalah.
The content does not constitute medical, psychological, legal, financial, or other professional advice.
Website content should not be relied upon as a substitute for appropriate professional advice.
7.2 User Responsibility
The user is responsible for the manner in which they use the content and for any decision they make as a result of such use.
Participation in a course or community does not constitute a guarantee of any personal, spiritual, medical, financial, or other outcome.
7.3 Website Availability
The Association does not guarantee that the Website or any of its services will be available without interruption or malfunction.
The Association may perform maintenance, upgrades, and changes to the Website and the systems through which it operates.
- Changes to Services and Terms
The Association may periodically update the Website, services, courses, community structure, and content.
Changes to these Terms of Use will be published on the Website or communicated to users in another manner, depending on the nature of the change and applicable law.
A material change to the terms of an existing arrangement shall not apply retroactively to rights already purchased, unless required or permitted by law.
Continued use of the Website after changes to these Terms have been published may constitute acceptance of the updated Terms, subject to applicable law.
- Governing Law and Jurisdiction
9.1 Activities with the U.S. Association
With respect to activities involving UNIVERSAL KABBALAH COMMUNITIES Inc., including courses, community participation fees, donations, and other legal relationships with the U.S. Association, the laws of the State of California, USA, shall apply, except to the extent that mandatory law applicable to the transaction provides otherwise.
Subject to applicable law, the competent courts of the State of California shall have jurisdiction over disputes relating to legal relationships with the U.S. Association.
9.2 Activities with the Israeli Association
With respect to donations made directly to Haim Kabbalah (Amuta) and activities conducted directly with the Israeli Association in Israel, the laws of the State of Israel shall apply, subject to mandatory provisions of law.
Subject to applicable law, the competent courts in Israel shall have jurisdiction over disputes relating to activities with the Israeli Association.

- Miscellaneous
If any provision of these Terms is determined to be invalid or unenforceable, this shall not result in the invalidity or unenforceability of the remaining provisions.
Failure by the Association to enforce any provision at any particular time shall not constitute a waiver of its right to enforce that provision in the future.
These Terms, together with the applicable purchase terms, community terms, and Privacy Policy, constitute the entire terms governing use of the Website, subject to any mandatory applicable law.
